I believe that Alta Vista would be better as a spin off. With a spin off the Alta Vista management would have a more entrepenuial (sp) spirit. Right now they are owned by a big company and are cogs in a bigger machine. If Alta Vista was separate and had the right management they would be more likely to be an internet leader.

Now they are an also ran internet company. There is not much time to turn it around because the die is quickly being cast as to who the winners and losers are in that game.

Compaq can add value to the company by doing things like setting up their PC's to default to Alta Vista as a search engine.

My suggestion is to do the following:
1. Spin off Alta Vista.
2. Have Compaq retain significant ownership of the stock (eg 30% to 50%).
3. Retain directorship representation on the board of directors.
4. Make sure there is some sharp workaholic entrepenuers running the show.
5. Keep an alliance between Alta Vista and Compaq.

With it handled that way I believe they would:
1. Get a lot of cash from the spin off IPO.
2. Improve management and motivation within Alta Vista.
3. Increase shareholder value.
4. RAISE COMPAQ SHARE PRICE.
