I think the shares you are missing come from the conversion of $10 million worth of preferred to common at something like $1.10/shr. This happened after the reverse split. CWR

Proxy statement dated 4-28-98 said their were 12,862,706 shares
after reverse split and apon conversion of $10 million of preferred
stock into common shares at $1.15 per share. Joe Girata indicated
about 13 million shares when we spoke.
