Memo to: Naxos Shareholders

Re: Voting or changing proxies

The Naxos annual meeting will be held on July 24 in Vancouver. If you attend the meeting, you have a right to vote your own shares. If you do not attend, you have a right to appoint someone else, who does attend, to vote for you. You do not need to assign your voting rights to Sid Kemp or Ian Gordon.

If your shares are held in street name with a broker, there is a place on the form, in the center of the page (on the right side) where you can place an X if you want to vote for yourself. Sign and send this in, marked rush. The broker will send you a new form. With that form you can either attend the meeting or sign over your rights to someone else. In the latter case it must be mailed in to Montreal Trust, as instructed, no later than July 22.

If you have mailed in a street name proxy and wish to change it you will have to contact your broker for instructions. If you have not returned the form, the street name people will vote for you, for existing management. You can prevent that by sending in the card with an X, as if you will attend the meeting. All of this is confusing, so good luck.

If you hold stock yourself, and received a regular form you may assign your right to anyone. Just be sure Montreal Trust receives it by July 22. The mail to Vancouver takes 5-6 days. (Fed Ex is possible; include the phone numbers below.) If you plan to attend the meeting, send nothing, but bring your form with you. (Or you can send in the form with your own name on it.) If you have sent it in and wish to make a change, you can either get a new form or write a letter clearly describing the change. You may contact Walker & Co. as well as Montreal Trust to get this done.
