Roy - no need to re-possess, as the transfer of assets never occurred (except for the earlier and smaller New York deal for which some payment has been received)

MDIX has continued to manage the bulk of the staffing business over the past few months since the Banyan deal announcement.

My good friend Peter Michaelson asked me not to post a few messages back on this thread. But I couldn't help myself. I now know why.

A month or so ago Peter sent me a message complaining about Banyan among other things. Peter is a master of the whiney, shrill, oh whoa is me complaint. And one of the things he complained to me, and to all of us in this folder, was the fact that Banyan was a sham, a fraud.

I am not writing this post to defend Banyan. I don't know the guys there, and their business and my business never cross paths. However, Mr. Michaelson isn't being truthful with you. By the way, before I continue, I have subsequently found out that the Banyan office in PA is just a vestage, and the company moved to Florida some months back when they acquired another holding there. But that's not the point of this post.

When Mr. Michaelson asked me privately to provide information, I asked a broker source of mine who was familiar with both companies and he reported back that Banyan had made installment paymets to the company in excess of $2 million, and thus couldn't walk away from the deal. I did further research and called the company in Denver and was told that indeed, Banyan had purchased in its entirety the company's former Paxson business in New York and paid cash, and that these transactions had been disclosed by MDIX in several public filings. The amount of that sale was a million and a half, maybe a little more, I forget. I also found out that Banyan had made, to that date, deposit payments to the company for the further purchase of their businesses. I asked the company how much, and was told that the company didn't disclose uncompleted sales, but I was assured that "...two, three, at least several..." non-refundable deposits had been made. I reported this to Mr. Michaelson too.

Several days later I received another message from Mr. Michaelson, thanking me for my research. He claimed to have done research of his own, and claimed to have found payments to MDIX of at least $1.2 or $1.3 million. Again I forget. At that point, I didn't want to get into a prolonged discussion with a person who was going to twist for his own use, whatever facts I and others, had presented. So I dropped it.

Now the same issue is back. Peter, Peter, Peter...
