Kerry,

A real boat load of good questions....ones that need to be answered. I do not have the answers to these questions but will look into them and encourage any of the EDII threadsters to do the same. A lot of excellent information has been provided on this thread and there are more issues that need to be attended to. Thanks for the insight. I will make sure that as these questions are answered they are forwarded your way.

When an insider files a 144, they are merely stating an intention to sell, not necessarily an obligation to sell. Is this statement correct?

Yes, they're not obliged to sell. Normally, however, they do so very shortly after they file the 144. When they actually DO sell they have to file a Form 4. In any case that's what's required if they're a reporting company; I don't know what the protocol is for non-reporting BBs.
