ORCI to buy TOTL?
hmmm...
Possible. So lets take a look:
~~~~~~~
First question that comes to mind is were would they get the money?
And my first answer comes back... they won't.
They aren't long on LT debt at $10 million and change, but their cash position in only in the very low 6-digit figures.
Which means the buyout, if it happens will probably be a stock swap deal.
And would go something like this:
TOTL shareholders will 6/10 of a share for each ORCI share.
That would be a 25% premium over todays closing price and a $52 million buyout ( and a double+ from prices a few months ago ).
Of course there would be provisions in the deal to give cash to TOTL's new investment group for their shares and those of the principle insiders of TOTL.
So insiders would make out like bandits... and stockholders would get different paper and consolidation expenses.
Still, it might make an impressive marketing research entity.
Both companies are growing and have decent valuations.
But would current holders get much out a deal like this?
