Mr. Pink,

Are you short via puts or equity? I cannot tell too much about mgt except that the main players appear to have little experience in the current industry. Most of my research has been in the area of the business. I can tell you that 1) I covered during the halt, just a bit to real for me but may put in-th-money puts back on 2) the company has virtually no customers for its technology and the cable execs I have talked to are very skeptical of internet via set-top 3) I have looked at some of the company's patents and (in my most humble opinion) would be very surprised if they are worth much in the current cable environment 4) Worldgate, the company sued by Source, based their technology on VBI, not frame-grabbing. The suit appears to be promotional. That's all I have for now. Archer may know some personal background.

EXECUTIVE PROFILES ÿ

Timothy P. Peters/Chief Executive Officer

Mr. Peters has served as a director since its inception in 1988 and
was elected Chief Executive Officer in December 1992 and
Chairman of the Board in August 1994. In 1986, Mr. Peters
founded Information Express, Co., an operator-assisted Yellow
Pages company that served the Denver area, where he acted as a
Vice President from 1986 to 1988. Prior to 1986 Mr. Peters
served as Regional Manager for the US West region of Penn
Central Telecommunications Company.

John J. Reed/President

Mr. Reed has served as a director of the Company since its
inception in 1988 and was elected President in May 1996. From
1989 to 1996, Mr. Reed served in various positions with the
Company including Executive Vice President of Sales and
Marketing. Mr. Reed was Chairman of the Board of Cableshare
Inc., now Interactive Channel Technologies Inc., an Ontario,
Canada corporation and, since 1997, a wholly-owned subsidiary
of the Company. From 1986 to 1989, Mr. Reed was President of
Reed and Associates, a Dallas-based real estate brokerage and
professional service firm.

W. Scott Bedford/Chief Operating Officer/Chief
Financial Officer

Mr. Bedford has served as a director of the Company since its
inception in 1988 and as Chief Operating Officer since December
1992. From 1988 to 1992, Mr. Bedford served in various
positions with the Company, including Executive Vice President
of Operations. From October 1993 to January 1997, Mr. Bedford
was Chairman of the Board of Cableshare, Inc., now Interactive
Channel Technologies Inc., an Ontario Canada corporation, and
since 1997, a wholly-owned subsidiary of the company. Prior to
joining the company, Mr. Bedford worked for Transwestern
Realty Advisors and Penn Central Telecommunications
Company.

Maryann Walsh/General Counsel

Ms. Walsh has served as General Counsel of the Company since
January 1995 and Secretary of the Company since March 1995.
Together with Mr. Peters, she founded Information Express, Co.
and served as its Corporate Counsel and Secretary. In 1981, she
worked for a law firm in London, England and from 1989
through 1994 was with a law firm in Jakarta. She was also a
Counsel with Mobil Oil Corporation in New York City and
Denver and handled U.S. Supreme Court and federal court
matters for the U.S. Department of Justice.

Dan D. Maitland/President, IT Network

Mr. Maitland joined Source Media in October 1996 as President
of the Company's Telephone Division. With over 18 years
experience in the Yellow Page and audiotex industry, Mr.
Maitland is an early pioneer in the field of voice information
services. Mr. Maitland started his Yellow Pages career in 1979
with Bell Canada's Tele-Direct. In 1986, he founded BDR
Audiotex Inc., one of the first providers of audiotex information
and technology to the Yellow Pages industry. In 1990, BDR
merged with Perception Technology where Mr. Maitland became
the Executive Vice President and General Manager of Perception
Electronic Publishing. Perception Technology merged with Brite
Voice Systems in 1993.

William Thomas Oliver/President, Interactive Channel

Mr. Oliver joined Source Media in June of 1996 as President of
the Company's Television Division. Mr. Oliver has over 20 years
of cable programming experience at DMX and Time Warner's
Home Box Office (HBO) pay television service. Most recently,
Mr. Oliver served as Executive Vice President of DMX,Inc., a
leading premium digital music provider. Mr. Oliver was part of
the original team that launched HBO in 1973. Oliver was with
HBO from 1973 through 1987 as a Senior Vice President.

Proxy is best source of information.

I have met many of them. From memory, their background is in the telephone business (The yellow pages supplement). Tim Peters founded a business in that area, and built up SRCM. They bought the cable technology from a Canadian company and I haven't met any of those guys. In looking at a breakdown of the businesses, I could not find any of them that were profitable. I also remember thinking none of them came from any reputable company, but it has been a while. Also, when talking to them, they all seemed to be quite unsophisticated about the cable business and the internet. But, I assume there are some lower level guys with technical knowledge.

I don't know John Reed or Scott Bedford. Dan Maitland, who runs the telephone business seems to be a solid guy. He doesn't give the kind of spin and misrepresentation that I expect from many of the others.

I know this is kind of vague, but the best I can do from memory. I am now thinking this rumor was all a scam.
