Reg S financing is often done when the CEO has no credibility with U.S investors.

Some of the Reg S deals I've heard about were disasterous for current shareholders. The shares were shorted at a high price by the non-U.S investors prior to the share dillution being announced. When announced, the stock price crashes, and the shares issued are used to cover the short position.

The current shareholders take a bath.

All in the name of "Debt Restructuring".

Finally getting a better view of Dror.
