Thank you for your response, and I do appreciate the effort the Representative from Genzyme made to publish the Trading report of Mr. Termeer.

Although this seems to be in good faith, I think it was "selective" in its response. The block of time which disturbs me is the last quarter of 1997 (Sept-Dec). In terms of compensation to Mr. Termeer, my questions still remains.

Mr. Termeer is the President of Genzyme Development Partners, LP.
Other Directors of this General PArtnership Include "Appointees" of Paine Webber R+D Partners 11.

ie: Peter N. Reikes - Director since 1997
Dr. Gerald Austen, MD - Director since 1990 As quoted from 10K

"... Pursuant to voting agreement between Genzyme and Paine Webber R+D Partners 11, LP, the holder of 15% of the Class A Limited PArtners Interests, Genzyme has agreed to nominate and vote its shares for the election of directors such that at least 1/2 of the directors of the GP consist of persons designated by PW R+D 11."

Was Mr. Termeer, acting in his capacity as President of the General Partnership, compensated as a result of the tender offer for the Limited Partnership Units sold to Bioroyalties, LLC?

Read the agreement in Edgar
type "BIOROYALTIES" at the Edgar Prompt. This was a significant transaction.

I think that is a legitimate question. Any comments?
