Great work, Janice.

This especially would concern me:
recurring losses from operations and its noncompliance with debt
covenants raised substantial doubts about its ability to continue as a going
concern.

simply due to the fact that though it is not measuring future performance by the past, it is showing that there was behavior that could possibly affect the future of the company if that behavior regarding the debt covenants continued

>>>On November 18, 1994 Deloitte advised the Company that it believed that significant transactions executed by individual Board members or executive officers prior to the Board of Directors deliberation and approval or without safeguards such as shared responsibilities, results in a material weakness in the Company's internal control structure and potentially exposes the Company to material loss of assets or assumption of liability.<<<

My interpretation of this paragraph is the actions of Dror exposed the company to shareholder lawsuits.

This type of prior performance goes to integrity and not ability.
