Right, based on that release, the exchange ratio is around 3 for 1 based on AVIA current price. The stock price ratios are 5 to 6 to 1.

EDIT version

Actually, if the .62 price is always used, this deal is more advantageous to POKR as llong as its price is under .62 and AVIA is at least 3 times POKR's price.

It doesn't matter the AVAI price, no matter the price you will always end up with a POKR valuation of 0.62.

Go through the calculation imagining AVAI price at 0.10;

0.10 / 0.62 = .16129 shares = 1 AVAI or 6.2 AVAI shares for 1 POKR
x price of 0.10 = 0.62

Or with AVAI at 10 bucks
10/.62 = 16.13 PORK shares = 1 AVAI
current price of 10 bucks / 16.13 = 0.62/share
