Hi Rap,

TCI does have an incentive to stick but if AT&T shareholders vote down the deal it will cost AT&T. Since the MCI/Worldcom deal got government approval it seems that this deal will likely do the same. That leaves the T shareholders as the biggest obstacle. What is the ownership of AT&T like? How big a stake does management have? Who are the large shareholders?

Thanks,
John
