Osicom sets 1-for-3 reverse stock split

SANTA MONICA, Calif., July 17 (Reuters) - Osicom Technologies Inc. Friday said its board of directors has authorized a one-for-three reverse stock split.

Osicom, a computer networking product maker, said in a statement that the reverse split will take effect on July 24.

The reverse split will reduce the number of common shares outstanding, as of May 31, 1998, from 21,462,388 to approximately 7,170,000 shares which includes fractional shares that will be paid in whole, the company's statement said.

Osicom said its common shares authorized for possible issuance will be reduced from 50,000,000 to 16,666,666.

Robert Gordon:

Thank you for the correction, I didn't read the press release and just assumed that the reason they did the reverse split was to print more shares. I am really happy that they decreased the Authorized shares by a third as well.

Now the real question is, why?
I guess we will all know soon enough...
