Software in Acquisition by Motorola

PALO ALTO, Calif.--(BUSINESS WIRE)--July 16, 1998--Gray Cary Ware &
Freidenrich LLP announced that it served as counsel to Starfish Software Inc. in its
agreement to be acquired by Motorola.

Starfish (Scotts Valley, Calif.) is a privately held company and leading supplier of core
device, server and desktop technologies for wireless and wireline Connected Information
Devices. As part of the agreement, Philippe Kahn, chairman and chief executive officer of
Starfish, will join Motorola's senior management team. Kahn was the founder and former
chairman and chief executive officer of Borland International Inc. (now known as Inprise
Corp [Nasdaq:INPR - news].). Financial terms of the agreement were not disclosed.

Partners Peter Astiz, Marvin Meisel (tax) and Penny Gallo (employee benefits) and
associates William Choe and Barbara Friedrich led the Gray Cary Ware & Freidenrich
team for Starfish Software. They worked closely with John Hansen, the vice president of
business development and general counsel of Starfish.

Motorola was represented by corporate counsel Rita Bahr and Carole Forsythe,
intellectual property counsel Hugh Dunlop, Jackson Tufts partner Shane Byrne, and
associate Mathew Gemelo.

I think today was a message from the MMs to Del. They aren't taking any more crap from him so the numbers better be good or expect more of the same.
