Lane,
The risk with accepting the stock and paying for it on margin is that Dell may drop 20 or 30 points after earnings as they did after the last two earnings reports. Some brokers don't let margin drop below 50% in a concentrated account (where the stock is 50% or more of the equity in that account). I would definitely exercise some of the options in this situation to minimize taxes, but you need to cover yourself if there a retreat from the high when earnings are announced.
