Exactly ... In the cases we are discussing there has to be black and white proof. Corporate minutes, cleared checks, invoices, signed contracts, issurance of certificates, resolutions signed by the baord etc. etc. etc. Plus motive, biographical character, profitablility, etc etc etc

Just saying someone is guilty is about as convincing as any other rumor. You cannot file on speculation. However the SEC ot rather the federal government can by association to see if profitability has occurred.
