Where do you see the restrictions? The June 30 S-3 filing mentioned that any of the 16 Million + shares may come for sale at any time. Did I miss something? The average price of 7 Million of those shares is $2.70.

The above statement makes no sense. Surely you have some experience in the Smallcap arena. You know what those PP holders are doing. If they are not selling, then they are shorting, there is no downside for them, they even have 5 Warrants for each preferred that they can excersize. They can't lose either way.
