As far as stock buy back goes, it would seem that they are open to be misused.

Most insiders have stocks and options that reward them when the price of the stock goes up. There are two ways to make a stocks price go up in the short term, do a good job in management or use the companies money to buy back stock. If I was a manager in a poorly performing company I would be using every cent of the companies money possible to buy back stock.
