The private placements were made to Asian investors in late '96 and early '97, as I understand it, when Titan was investing heavily in developing new manufacturing capacity. The company feels that the shares are quite tightly held.

I asked Andrew at Veritas about the Easyrider deal, and he said he'd have to double-check the figures, as the ones they have are different. What was the source on the numbers you quoted?

Titan has applied to upgrade both its SEC reporting status and its NASDAQ listing. I'm not sure how long the approval process takes.

Andrew's response:

The prepaid advertising to Easyriders publishing company is mentioned in the 1996/97 Financial statements - Note 8 Subsequent Event: In 1998, the Company issued 60,000 shares of its common stock and agreed to transfer $200,000 of its motorcycles over a two year period to a publishing company for advertising services valued at $500,000, which will be used in 1998 and 1999.

The issuance of stock to overseas investors was part of the original financing of the company and subsequent market support of its overseas individual investors, all part of the IPO.
