Blank, the deal is bad, but the strategy is very sound. Without the USR's Total Control RAS, coms would not be able to provide any VOIP now. I think majority of those ADSL, cable modems are also mostly inherited from usr. Without all these stuffs, coms would not be able to participate in the explosive internet growth. These are the area not dominated by cisco and coms will have a fair chance to succeed. USR may not have the earning power right now but the market shares are what Eric paid dearly for. And there are premiums in that sort of things.
