Why should a manager want to maximize shareholder wealth?

Managerial Incentives to Maximize Shareholder Wealth

Stockholders own the firm. They elect the board of directors, which then elects the management team. Thus, management is supposed to operate in the best interests of the stockholders.

However, might managers have other interests at heart - perhaps their own? Might management work just hard enough to give stockholders "reasonable" returns, and then spend their remaining time on public service, higher salaries, or golfing?

If a firm is operating in a competitive market, then the managers will be forced to undertake activities consistent with shareholder wealth maximization.

Why should shareholder wealth be the prime concern for a manager?
