I think you can forget about a merger, the boys at the Justice Department would have a hernia. They don't need any antitrust action against them. Why turn into MSFT? And frankly It just doesn't make sense, CISCO is doing much better than the companies mentioned, without their overhead.

It seems the networkers always tank when BAY reports. Thankfully BAY should not report anymore and isn't any threat:

Bay Networks Inc. (NYSE: BAY), which was acquired by Northern Telecom Ltd. (NYSE: NT) may be getting its act together since it hit
Wall Street estimates with fourth quarter earnings of 12 cents a share and strong revenue of $618.3 million. Few analysts, however, think Bay can keep it up.

"Bay is really hoping the Nortel deal closes in early September so it doesn't have to report another quarter," said Craig Johnson, an independent industry analyst, referring to Bay's spotty track record on Wall Street.


Nortel beat expectations, but has to integrate Bay and unveil a full portfolio of networking products.

"With Bay we'll come in with a full portfolio," said John Roth, CEO for Nortel. "We'll be a contender now. Before we would be disqualified from even the bidding because we couldn't offer everything."
Even with a full portfolio it's unlikely that Nortel-Bay will outduel Cisco and Lucent.

You can rule out Nortel-Bay as a serious contender while other competitors are just waking up.
