In going through that SEC filing it looks like Gordon has the old Compact Connection over a barrel.

If they don't and they didn't come up with audited financials by May28th, TSIG;

1. Doesn't have to give them squat in the form of shares.

2. TSIG still gets to use the name Compact Connection with ALL their marketing tools, most notably The Card, and any other intellectual property that they may find valuable. Except TSIG only has to give the old Compact Connection 1% of whatever net profits accrue. And who and what defines net profits?? Now that's a deal!!!

In the interim, the Seller has granted to the Registrant and CCI an exclusive license to all intellectual property owned by Seller, consisting of all rights and interest in the concept of marketing pre-recorded music recorded on tapes and compact disks, and other mediums that may become available, using a prepaid "MusicCard," including but not limited to any trademarks or tradenames for "Compact Connection" and "MusicCard." The license may be used by the Registrant and CCI for and in connection with an internet web-site for the sale of pre-recorded music in exchange for a royalty fee to Seller of one percent (1%) of any net income derived from the web-site. In the event that the assets are not acquired, the license shall remain in effect for a term of ten (10) years, and is renewable for an unlimited number of additional five (5) year periods.
