That would depend on his relationship to the company as well as how much he currently owns. If He's not an insider (officer Director) or holds less than 5% then he wouldn't have to file with the SEC. I'm not familiar with the original funding of the company and that's why I begged the question in the first place. Most of the deals I've had access to have been funded by venture capital rather than individuals so when we get a individual he or she is in insider. Most of these end up with positions they want to dispose of thru stock swap mergers.

As for flaming we'll leave that to sunset who's book of business seems to be more devine than my own!
