DCI AGREES TO BUY LOCUS FOR $25 MILLION IN CASH, AND STOCK

"DCI said it expects its annual revenues to grow to $100 million with the acquisition of Locus, which has estimated annual revenues of $50 million. DCI had sales of $8.1 million in the 1998 year ended March 31.

It expects revenues to increase $15 million from its April acquisition of Edge Communications, a Maryland based prepaid phone card company, said company spokesman Craig Murphy. The remainder of the revenue increase will come from it's Cyberfax Internet service and its DCI Europe operations, DCI said.

DCI said it would pay $10 million in cash and 7.5 million shares with a set value of $2.00 a share for Fort Lee, New Jersey -based Locus. Based on yesterday's closing DCI share price of 1 5/8, the transaction, first announced in May, is valued at about $22.2 million"
