I short mainly discount convertible stocks, and AND qualifies as a good one to short.

From reading many many S-3's, conversion at the average of the two lowest trading days is severe. Most deals are at the average of the lowest 5 trading days.

The 2.1mm max shares puts the conversion price at approx 5.25 (don't forget the 6% annum interest). Since the shares outstanding is 11mm, it is more likely that 2.1mm limit is to keep the dilution under 20%.

Exceeding the magic number of 20% requires shareholder approval.

The earnings report is due tomorrow. I think todays buying in the last few hours is in anticipation of tomorrows report. I have no feeling on weather tomorrows report will be positive or negative. I'm short because of the convertible deal.
