The law presumes the best interests of the company and shareholders are one in the same. There is no stated or implied fiduciary duty to officers or employees. As governed by 10b, the matter would be deemed a civil action that would have to be pursued by aggrieved shareholders.

Obviously, if no shareholder believed turning down a 200% premium was irresponsible, you then would be correct.
