Excellent point Blackie. Let's reprise those two items here: 8. The warranties and covenants continued in this agreement survive the closing of the transaction contemplated by this agreements 10. The governing law for this agreement is the State of Utah, and in the event of any disagreement arising from this agreement, the parties agree to submit to arbitration for a binding resolution of the agreement. If any provision is found to be ineffective, the remaining provisions of the agreement shall stand. So, 8. says that commitments extend beyond the signing date, and 10. says the parties agree to arbitration in the event of a disagreement. Blackie, are we an arbitration board? I don't think so. Sounds like THE mechanism for resolving disputes has already been determined by the two parties. TG
