14A filed: basically the same as the prior one (5 mil shares of new preferred, expand common from 15 to 25 mil shares, 2 mil shares to insiders) except the conditions of the convertible are now spelled out and they are simply amazing! the interest rate may actually be 17%, depending on conditions when conversion occurs. Will need to do some calculations but it looks like the effective interest rate is over 30% considering the shares they get. Earliest conversion date is Oct 8, 1998 so mark your calenders. disclosure-investor.com
