There are other companies that CD could buy that would result in less dilution, but the ABI acquisition is extremely strategic for CD. CD is a marketing company, running a portfolio of consumer businesses in lodging, car rental, timeshare, and shopping clubs.

But it also is a significant player in providing add-on services that are sold thru financial institutions. Checking account club bundles. Accidental death insurance. Lost and stolen credit card protection. And FI's sell a lot of credit life insurance and credit disability insurance, which are ABI's mainstays.

CD will be able to cross sell both directions to existing and new banking clients of CD and ABI.

Today was a VERY good day for Mr. Silverman and the stockholders!

ABI is good for CD. The deal will probably be done in a good way, and we will all be happy. Who knows? Maybe CD will even be at $25, or so, in time for the merger.

CD still has some major cards it can play. After the final audit is out in a few weeks, CD might announce a stock buy-back, or that the merger will be for cash, or that they are selling a unit for a nice price, etc.
