I think you both missed my point. These rights plans are an artificial barrier to the proper functioning of equity markets. They put in place an obstacle that has no place in a free auction market, sort of like pegging a currency.

The point is, when you decide to go public you have to abide by the forces of the market including the possibility that your company could be bought out by a competitor or other shareholder. To erect barriers to this possibility is an affront to the very nature of the market and as such puts the interests of insiders before those of the shareholders at large.

Now you might not see it this way, but the fact is, the point I make is not theoretically open to debate.
