NetVantage, Cabletron FileProxy/Prospectus Relating to Acquisition

EL SEGUNDO, Calif.--(BUSINESS WIRE)--July 30, 1998--NetVantage Inc. NETVA Thursday announced that it has filed preliminary proxy materials with the Securities and Exchange Commission in connection with a special meeting of stockholders that will be convened to vote on the company's proposed acquisition by Cabletron Systems Inc. CS .

The preliminary proxy materials also constitute a preliminary prospectus of Cabletron that has been filed as part of a registration statement relating to the shares of Cabletron common stock to be offered to NetVantage stockholders in the proposed acquisition.

The effective date of the definitive proxy statement/prospectus is dependent on the Securities and Exchange Commission review process, after which a date for the special meeting will be set and copies of the final document will be mailed to NetVantage stockholders.

NetVantage is a leading worldwide OEM supplier of workgroup Ethernet switches. The company develops, manufactures and markets high-quality, technologically advanced Ethernet workgroup and desktop switching systems designed to increase the information handling capacity of local-area networks and is expanding its presence in high-performance workgroup switching.

WOW...CS $11 1/8...WHO HAS THAT KIND OF POWER??!!!

I guess I should learn to execute my trade intentions BEFORE I post them on SI! Did everybody buy my argument and sell today, or what?! The last hour of trading was horrific, NETVA/CS discount narrowed substantially today to 8.8%! NETVA looking strong...if this isn't a done deal there will be many unhappy campers here!

I guess I should NEVER say NEVER! CS below $10 is all I could think about during my short trip to the west coast this past extended weekend!

NETVA action is the real guage for CS, and the discount narrowed substantially to just under 4%! I wonder what percentage of NETVA shareholders of record 8/13/98 bought into the stock after the announcement?! The action tells me that the deal is done and that the best way to buy this overly battered company is through NETVA.

Fundamentals have not changed and the story is still bullish, but I'm kicking myself for ONLY dumping half my position in CS over $11 recently! I'm also not too proud of the fact that I didn't stick with my first incling to not start buying NETVA until it broke $6. Well I've got a cure for that...doubling my position at $4.75 NO HIGHER!

However, THIS STILL SUCKS!!! Can anyone say EIGHT DOLLARS...NETVA at $4.75 translates into $7.71 for CS, factor in the discount and you get CS trading in the low $8 range!!!

We are now down more than 30% in the past 3 months...I can't believe we have 2 more months of this torture! CB had better know what he is doing, and I also don't want to hear ANY rumblings about the books!

Still smelling $20+ by December, but this is starting to get a little REDICULOUS!!!
