If Faber really said that the "closing date" is the determining factor as to whether or not a pooling can occur, then he is misguided -- or is helping out some friends who want to see Ascend descend for the moment. It's the "initiation date" that's determinative; i.e., the date a deal is announced or otherwise notified to the shareholders.

Faber reportedly also started spreading the rumor that Ascend was going after an even bigger company. Did he follow up on that rumor? (I don't get CNBC where I am presently.)

The idea that Lucent won't want Ascend now could also be hogwash. Lucent would be not only buying a company which could help it immensely, but also eliminating one that has the potential to become a serious competitor (although they would never admit that for antitrust reasons).
