Potential Dilutive Effect of Conversion and Additional Issuance of Series B Preferred Stock. The number of shares of Common Stock which may be issued upon conversion of the Series B Preferred Stock is dependent upon the trading price of Common Stock at the time of conversion. To the extent that the trading price of Common Stock is lower than $6.94 per share at the time of any conversion of the currently outstanding shares of Series B Preferred Stock, the number of shares of Common Stock issuable upon such conversion will increase. Until December 31, 1998, the Company has the option, subject to certain conditions, to require all existing holders of Series B Preferred Stock to purchase in the aggregate up to 500 additional shares of Series B Preferred Stock. In the event the Company exercises this option and additional shares of Series B Preferred Stock are issued, existing holders of Common Stock could be subject to dilution.
Commencing June 30, 1998 and extending through June 30, 2000, holders of Series B Preferred Stock have the option to purchase in the aggregate of up to an additional 198 shares of Series B Preferred Stock. In the event some or all existing holders of Series B Preferred Stock exercise this option and additional shares of Series B Preferred Stock are issued, existing stockholders of the Company would be subject to dilution at that time.
