Andrew: Diluted shares are used when EPS is positive; outstanding shares are used when EPS is negative. The new rule is designed to make everything look as bad as possible--a little bit of tough love from the SEC.

Bleeker: I'm guessing dilution does not occur until both of the following occur:

1.The initial lockup period is over

2. The convertibles are "in the money".

Just a guess, but it's the only thing that makes sense to me.
