Scott, appreciate your help. The only thing, I am not sure that Preferred Convertibles fit this category. I know I was involved with another stock where a lot of Preferred Convertibles were issued. They came to market without any forms being filed. I will check with someone more knowledgeable than I am to try to find out why they didn't have to file. It was probably because they carried no restriction.

Scott: Have there been any recent changes in regulations applying to the sale of shares by insiders and/or large shareholders? Seems like I vaguely recall that there were some changes not too long ago which mandated a more stringent filing procedure. Thanks. George E.
