If I'm not mistaken, it's Florida. However, I would prefer getting back to you once I've verified the latter with the company. As to the company rules, they are mostly procedural type resolutions indicating things such as : quorum, number of minimum and maximum directors, voting procedure, ... I might be mistaken, but I doubt these affect in any matter the legal requirements for an increase in authorized shares. You seem to be a very knowledgeable individual, thus if you have any comment on the above mentioned matter, I would be interested in hearing it. Regards AK
