I'm sure this has been asked / posted about before here so forgive me but...

Why would Forecross, a US-based company, wait until July 15, 1998 to become a US reporting company filing with the SEC? The general feeling seems to be that the VSE listing only hurts the company and turns off most if not all US investors, and certainly institutional ones.

Why didn't the company simply report to the SEC all along, and trade on the OTCBB until it met the requirements for AMEX or NASDAQ?
