Ian, it looks like a lot of those new shares might possibly be sold on the open market, and sooner rather than later. I don't like that.

Here's the excerpt from the 8-k, which indicates we should see a prospectus within a couple of months, where the purpose is to register the shares so that the Concept shareholders can flip them:

<<. 6.4 REGISTRATION RIGHTS. Mattson will file a registration statement for the Mattson Shares issued to the Concept Shareholders not later than ninety (90) days of the Closing Date and will use its best efforts to have said registration statement declared effective by the Commission>>

Picked up this link from the AMAT thread. Interesting. Mattson may well expect the price to bounce back if these folks are correct and if Mattson can stay in business and have some wins about this time....
