From today's SEC Digest: COMMISSION ISSUES CEASE AND DESIST ORDER AGAINST SPACEDEV, INC. AND JAMES BENSON On April 13, the Commission entered an Order Making Findings and Imposing a Cease and Desist Order (Order) in a matter involving SpaceDev, Inc. (SpaceDev) a microcap company based in San Diego, California, and its chairman James William Benson (Benson), finding that SpaceDev and Benson made false and misleading statements to the public pertaining to projected 1998 revenues and earnings and a financing agreement with a broker-dealer. SpaceDev, whose stock is quoted on the OTC Bulletin Board, and Benson consented, without admitting or denying the allegations therein, to the entry of the Order, which prohibits them from violations of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder.
