From VRSN's S-1 in November 1997: Pro forma to reflect: (i) the conversion of all outstanding shares of Preferred Stock into shares of Common Stock upon the closing of this offering, (ii) the issuance in November 1997 of 250,000 shares of Common Stock, valued at $2.0 million, in connection with the execution of certain agreements with VeriFone, which included a settlement of claims of VeriFone, and (iii) the issuance in November 1997 of 100,000 shares of Common Stock, valued at $800,000, to Microsoft in connection with the execution of a preferred provider agreement.
