This is what Joe told me several weeks ago and what I put in one of my posts. As far as I'm concerned if the preferred shareholders had stock that could legitimately be sold and they did sell it so be it. If the CC people had shares that could legitimately be sold and they did so be it. I think this issue is giving everybody a headache. The convertible preferreds were issued to raise money for the infrastructure in Europe and acquisitions. Lord above,look at the revenues 2 years ago as compared to the last quarter. WE are a lot better off with 35 million shares outstanding and $200 million in revenues as compared to 7 million shares outstanding and $2 million in revenues.

Please, don't punish yourself over this. The rest of us have always had access to exactly the same information as you and Juli, but we never made the same effort to work the numbers that you have . Together, you have done us a great service by putting focus where it should be.

However, there has been SO much posted in recent days about what has been converted, and what has been sold, that I've gotten bogged down.

Perhaps you could once again give us a summary of your findings. At this juncture I feel the most important numbers, however, are 1. what probably remains unconverted, and 2. of those which have been converted, how many probably remain unsold. These two numbers should give us the ultimate insight as to what will happen to share price in the near future (barring a sudden announcement of the sale of the Company).

James, I think you are right that we have looked at all of this and now it is time to move on. Just one small correction first. The 368,304 shares from series E could not have been sold until after March 31, 1998 because that is when they were issued. This goes with what Joe Murphy said that all of the shares which had been issued had been sold before Nov. 97. These would have been sold since April.
I like the questions you asked Charles. Those are some of the questions that I had intended to ask. From what I can gather at this point, Charles is probably a larger shareholder than almost any on this board (not counting Grupo, of course). I am sure he is just as anxious to see DCI move forward with the sale as any of us. I look forward to his participation.
