I assume you are referring to provisions in the 1998 Stock Incentive Plan that specify how the value of the proposed options can be preserved should an acquisition event occur. One or more of five (three applicable to options)courses of action are described, whereby holders receive equivalent options, cash, or see their then current options become fully exercisable. IMO these provisions appear reasonable and, by themselves don't look like poison...but I'm relatively unfamiliar with corporate defenses against takeovers. Are you expecting one? :-)
