We might have to tag Sam with the handle....Detective Sam. With my limited knowledge of poison pill, this doesn't fall into that category. I've only been through one buy out and in this case I did have to sign over the stock options I had in our company. Unusual and long explanation, however, as a result, this is why the Dude is still working(:<<<). A normal format of a poison pill is the issuance of new stock options or taking on debt after the offer making the offer unreasonable for the buyer. If you are indicating that this is only a case of vesting, then it is merely a case of management and employees protecting their interest. This would be expected and I'm fully in agreement with it.
