Jon, my measure is a back up to a hoped for merger. And, if the majority attempts to proceed by "written consent", as apparently Utah law may allow in some cases, that means it and management bear a heavy responsibility of being "right" in their valuations.

Beyond that, this is ridiculous, because all of us have other jobs to do and cannot spend our time (except in this rare case) chasing down our dog-eared (and shaped) investments.
