Overall, the new company wins. I do not know who will have control,
although my gut reaction is that Bell Atlantic will run the ILEC side and
GTE will run the CLEC and Long Distance side.

Overall, the price paid is below market value. I wouldn't be surprised if
there is another offer in the wings. (BellSouth or Sprint?)

The rumor last spring was that ATT wanted to buy GTE but Chuckles Lee wanted the top job. He didn't get it so that was the end of that. When ATT bought TCOMA that was the end of ATT's interest in GTE. For the above reasons I don't think ATT has any interest in GTE besides competing against them with high bandwidth fiber/coax plant.
