I do not believe that the motivation for the spinoffs is litigation driven. From what I know, there is no action against CSMA from either Harmer or LPSL. I believe that Harmer has an action against H.K. personally but not CSMA. If LPSL decides to take action, it would probably use the arbitration clause of the agreement, although presently there are no indications that it will do so.

Additionally, the cancellation of the CSMA shares to LPSL will directly affect the spinoff shares also. IF LPSL were to pursue this and is successful in preventing the cancellation, they would be entitled to the spinoff shares. The spinoffs are not an attempt to prevent LPSL from having a claim to these 2 new companies.

I agree that the shares of CSMA after the split will be much less valulable than Adhatters and Envirotech. I don't know about litigation issues, but I'm counting on the disposal well being profitable by split time which would help Envirotech's stock price. We all know Adhatters is profitable and should be the best bet of the three new companies. I know once the spin-off occurs, I will be accumulating shares of Envirotech and Adhatters and dumping CSMA. Our telephones have been ringing and the faxes have been busy as it seems the CSMA Management replied to our post (reply # 8546) exactly as HK Boner expected. No meeting, however, the reverse and the break up did come as surprises, although we are now beginning to understand this latest bit of wizardry by CSMA Management.

Dreams come true and MM is about to realize one of his. When MM said he would take HK Boner head on anytime, we're betting he meant later, not just now, however, Mike the time is now! Your dreams are coming true.

HK Boner has initiated conversations to locate a capable Utah based attorney for purposes of calling a special shareholders meeting of the shareholders of CSMA. HK Boner et al has the votes to call the meeting and will present an agenda that includes, but is not limited to the following:

1 Approval of the sale of all of the CSMA assets to a full reporting, form 10 filed, trading NASDAQ BB Shell. (yes we have one and no there will be no reverse proposed).

2. A name change! (Hopefully, in time, we can all forget the name Coconino SMA and its management.)

3. The registration of shares of the new company that was originally agreed upon by management and approved by the shareholders of CSMA at the 12/1/97 shareholder meeting.

4. A new slate of Directors, to guide the new venture.

5. An Investment Banking and consulting agreement to assist the new Directors with raising some additional capital and creating an orderly market for the shares of the new company.

6. A re-domicile of the company headquarters to Nevada and;

7. Any and all other legal business to be presented at the meeting.

We don't care if your long, short, neutral, happy or mad. You all, with maybe two exceptions seem to be interested in protecting the future for CSMA's shareholders.
