Net Tangible Assets >= $2 million OR Market Cap >= $35 million OR Net Income (in latest fiscal year or 2 of last 3) >= $500,000. II. Public Float >= 500,000 shares. III. Market Value of Public Float >= $1 million. IV. Minimum Bid Price >= $1.00. V. Market Makers >= 2. VI. Shareholders (100+ shares) >= 300. Henry, I believe all 6 criteria must be met.
