With all due respect Steve, you guys mailed out your annual report
accompanied by your management proxy for the shareholders to vote on and in your annual report "MESSAGE TO THE SHAREHOLDERS" [and in the May 1998 Annual Shareholder Meeting presentation] the Rabins painted a very upbeat
picture of unlocking SoftQuad shareholder value and in that regard of its hiring of William Perrault as Vice President of Marketing. Furthermore, there was no mention of a likely/possible NASDAQ delisting, [including within United States SEC Form 20-F] and no formal disclosure of the sr. management non-recourse loans to purchase common stock within a Company which appears to desparately require cash to implement its [historically
questionable] business plan and admittedly extremely poor/non-existent SoftQuad [HoTMetaL] Inc marketing effort(s) [confirmed by Jonathan Sachs]. These omissions and appearance of sweeping material facts under the rug just don't instill a lot of confidence within your [loyal] shareholder base. Actually it makes us feel very uneasy and actually opens a pandora's box as to why?

What stinks? is that the shareholders voted for management pursuant to said [May 1998] proxies hence pursuant to alleged gross
misrepresentations?/omissions. The subject of our concerns simply do not appear to have been ethical and certainly not pursuant to accountable corporate governance.

Accordingly, I am [very] concerned.
