United States SEC Rule 15c2-6.

actually this is the legal/technical reason...this law simply requires any/all U.S. SEC/NASD governed registered reps that no OTC BB stock may be solicited for purchase(.)...any/all sales simply must be unsolicited...initiated by the purchaser and accompanied by necessary SEC paperwork signed by the purchaser confirming the OTC BB BUY was unsolicited...Rule 15c2-6 effectively kills/precludes an efficient OTC BB market...
